A XP Investimentos revolucionou o segmento de investimentos do Brasil. Com o lema desbancarize (saia do banco) ganhou popularidade. Porém, em 2017 o Banco Itaú comprou 49,9% da instituição por R$ 6 bilhões e fortaleceu o caixa da empresa.
A grande sacada do fundador Guilherme Benchimol foi usar o sistema de agentes autônomos, ou seja, profissionais que não possuem vínculo empregatício com a empresa, montam os seus próprios escritórios, mas só podem distribuir produtos financeiros que estejam na plataforma XP.
“Ele usou o mesmo princípio dos vendedores porta a porta de cosméticos, porém, para o mundo financeiro. É um visionário. Além disso, usou a tática dos grandes bancos para frear a concorrência. Dois players que estavam incomodando, como Clear e Rico, a XP simplesmente fez o cheque e comprou. É uma empresa muito agressiva”, explica o Financista Fabrizio Gueratto, do Canal.
XP Investimentos
A XP cresce mais de 30% ao ano e agora e possui mais de R$ 300 bilhões em ativos de seus clientes. Para encher ainda mais o caixa acaba de fazer o seu IPO na Nasdaq (EUA) e seu valor de mercado ultrapassa US$ 14,89 bilhões segundo informações do jornal Valor Econômico.
O valor é 70 vezes o lucro líquido da XP Inc. nos últimos 12 meses. O preço de cada ação saiu por US$ 27 dólares. Após o leilão inicial de formação de preço, que durou cerca de duas horas, os papéis já tinham valorizado 20,2%, cotado em US$ 32,42 às 13h46 (horário de Brasília).
Após máxima diária de US$ 35 os papéis finalizaram o dia cotados em US$ 34,46, alta de 27,6%. Com isso, o valor da companhia salta para US$ 19 bilhões (R$ 78,8 bilhões). Às 13 horas (horário de Brasília) de quinta-feira, 12, os papéis já tinham valorizado 1% frente a abertura do mercado, chagando a US$ 34,81. Com esses valores a XP Inc salta da 16ª para a 11ª posição na lista de empresas brasileiras mais valiosas, acima de BTG Pactual, WEG, JBS, BB Seguridade e Magazine Luiza.
Com a expectativa de crescimento da economia brasileira, o cenário de investimentos no Brasil também deve ser impactado e a instituição de Benchimol deve continuar a manter o ritmo de aceleração. Alguns especialistas do mercado projetam um lucro de US$ 2 bilhões em 2020. Por todos estes motivos, ser acionista (sócio) da XP tende a ser sim um excelente negócio a médio e longo prazos. “Agora a XP tem praticamente o mesmo valor de mercado do BTG, mas isso faz com que o investidor seja obrigado a se preocupar com a concorrência”.
BTG Pactual
O BTG também é uma instituição financeira extremamente agressiva e quer trazer a rede de agentes autônomos de investimentos (AAI) construída pela XP para dentro do banco.
O que ainda blinda a XP é o fato de a instrução 497 da CVM (Comissão de Valores Mobiliários) exigir que o profissional precisa ter exclusividade com uma única instituição financeira. Porém, a CVM já abriu uma consulta pública para mudar esta regra e o que circula do mercado financeiro é que esta alteração ocorreria somente após o IPO, o que já aconteceu.
“Na prática, um escritório de AAI do Amapá, que apenas distribuía produtos da XP, poderá também ofertar produtos do BTG e qualquer outra instituição financeira. No mundo do livre mercado isso faz total sentido e o BTG deverá oferecer diversas vantagens para atrair estes profissionais, mesmo que não tenha nenhum lucro por um determinado período com esta operação”, ressalta Gueratto.
Hoje, o agente autônomo já poderia trocar a XP pelo BTG, por exemplo. O problema é que uma parte significativa dos clientes destes profissionais não acompanharia esta mudança. Por exemplo, é o mesmo que um gerente do Bradesco que vai para o Itaú. Muitos clientes já estão acostumados com a instituição financeira e não querem mudar, mesmo gostando do profissional que faz o atendimento.
Mas com a mudança da regra pela CVM um novo cenário será visto no Brasil. “Ninguém ainda tem certeza absoluta que realmente isso ocorrerá e qual será o impacto na XP Investimentos. O que todos os investidores que possuem ações ou pretendem investir precisam entender é que esta talvez seja a maior ameaça. Todos sabem que André Esteves, fundador do BTG é tão agressivo e inteligente quanto Benchimol”, finaliza.
Banco Central
O Banco Central geralmente é bastante relutante quanto ao surgimento de novos bancos, o ideal para ele é que bancos já existentes sejam comprados. Porém, logo após a compra de 49,9% da XP Inc. pelo Banco Itaú o banco central autorizou a XP a operar como um banco múltiplo, com carteiras comerciais e de investimento, além de autorizações para atuar no mercado de câmbio.
AA CVM demonstrou certo incômodo com o escape de empresas brasileiras para bolsas americanas. A comissão de valores mobiliários decidiu abrir uma audiência pública para a discussão de regras para emissão de BDRs, títulos que permitem que investidores brasileiros comprem ações na bolsa americana. Segundo fontes do Estadão, há uma possibilidade de abrir esse BDRs ao investidor comum, pois, atualmente, os papéis estão disponíveis somente a investidores ‘qualificados’, ou seja, que tem mais de R$ 1 milhão investidos.
Em conjunto com seu IPO, a XP lançou dois fundos aqui no brasil. São eles o Trend XP Inc FIC FIA IE, que destina 100% de seu valor a ações da empresa, mas é liberado somente investidores ‘qualificados’, e o Trend XP Inc Balanceado FIC FIM que destina 20% de seu aporte para ações da empresa e os outros 80% para renda fixa, este último disponível para o público geral.
